These Terms of Service ("Terms") govern your access to and use of the ReviewED platform, website, and related services (collectively, the "Service"), provided by ReviewED Solutions Corporation, a corporation duly registered with the Securities and Exchange Commission of the Republic of the Philippines ("ReviewED," "we," "us," or "our").
By registering an account, clicking "I Agree," or otherwise accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a school, educational institution, or other organization ("School"), you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Service.
1. Definitions
For the purposes of these Terms:
- "Authorised User" means any adult school staff member (administrator, coordinator, teacher, or other authorised personnel) who has been granted access credentials by the School to use the Service.
- "School Data" means all data, documents, files, information, and content uploaded to or generated within the Service by or on behalf of the School, including any student-related data processed for evaluation purposes.
- "Student Data" means any information within School Data that relates to an identified or identifiable student, including academic records, assessment results, and enrollment data.
- "Subscription Plan" means the specific service tier, features, pricing, and term length selected by the School, as documented in the Order Form or School Agreement.
2. The Service
ReviewED is a SaaS platform designed to assist schools in preparing for, managing, and tracking evaluation readiness and school improvement planning. The Service supports schools pursuing review with bodies including, but not limited to, WASC, CIS, UAE (KHDA/MOE), and other recognised evaluation organisations.
ReviewED reserves the right to modify, enhance, or discontinue features of the Service at any time. Material changes that materially reduce core functionality will be communicated to the School with at least sixty (60) days' notice.
3. Authorised Users & Age Restriction
The Service is designed exclusively for use by adult professionals in educational roles — including school leaders, administrators, coordinators, and teachers. Students are not permitted to hold accounts on or directly access the Service.
The Service may process Student Data uploaded by Authorised Users as part of evaluation evidence gathering and school improvement activities for schools serving students from Grade 1 through Grade 12. Such data is processed solely on the School's documented instructions and is subject to our Privacy Policy and Data Agreement.
The School is responsible for ensuring that: (a) only authorised adult staff receive login credentials; (b) credentials are not shared with or used by unauthorised persons, including students; (c) all Authorised Users comply with these Terms; and (d) the School has obtained all necessary consents from parents, guardians, or students (as applicable) for the processing of Student Data through the Service.
4. Account Registration & Security
To access the Service, the School must register an account and provide accurate, current, and complete information. The School is responsible for: (a) maintaining the confidentiality of all account credentials; (b) all activities that occur under the School's account; and (c) promptly notifying ReviewED of any unauthorised access or security breach.
ReviewED reserves the right to suspend or terminate any account if the information provided is found to be inaccurate, fraudulent, or in violation of these Terms.
5. Acceptable Use Policy
The School and all Authorised Users agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates any applicable law, regulation, or third-party right;
- Upload, transmit, or store any content that is unlawful, harmful, threatening, defamatory, obscene, or otherwise objectionable;
- Use the Service to engage in or promote harassment, discrimination, or any form of abuse;
- Attempt to gain unauthorised access to the Service, other accounts, or any systems or networks connected to the Service;
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service;
- Use any automated means (robots, spiders, scrapers, or similar) to access, extract, or index any portion of the Service without our express written permission;
- Interfere with or disrupt the Service, its servers, or networks, including by transmitting malware, viruses, or harmful code;
- Resell, sublicense, rent, lease, or otherwise commercialise the Service to any third party without our express written permission;
- Use the Service to develop, train, or improve a competing product or service;
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or organisation;
- Remove, obscure, or alter any proprietary notices or labels on the Service; or
- Upload or process any Student Data without the requisite parental, guardian, or institutional consent as required by applicable law.
ReviewED reserves the right to investigate and take appropriate legal action against anyone who violates this Acceptable Use Policy, including suspending or terminating access to the Service without prior notice.
6. Data Protection & Privacy Commitments
ReviewED is committed to protecting the privacy and security of School Data and Student Data. In providing the Service, ReviewED makes the following commitments:
- No Sale of Data: ReviewED does not sell, rent, or trade School Data or Student Data to any third party for any purpose.
- No Targeted Advertising: ReviewED does not serve targeted or behavioural advertisements on the Service, and does not use School Data or Student Data for advertising purposes.
- No Profiling of Students: ReviewED does not create or use Student Data to build personal profiles of students for any non-educational purpose.
- Data as Controller: As between ReviewED and the School, the School is the Data Controller and ReviewED is the Data Processor for all School Data and Student Data.
- Purpose Limitation: ReviewED processes School Data and Student Data only for the purposes of providing, maintaining, and improving the Service.
Full details of our data handling practices are set out in our Privacy Policy and Data Agreement, which are incorporated into these Terms by reference.
7. Intellectual Property
School Data: The School retains all right, title, and interest in and to its School Data. By uploading School Data, the School grants ReviewED a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, store, and process School Data solely as necessary to provide the Service.
The Service: ReviewED retains all right, title, and interest in and to the Service and all related intellectual property, including software, code, algorithms, designs, graphics, user interfaces, documentation, trademarks, logos, and domain names. Nothing in these Terms transfers any ownership of ReviewED's intellectual property to the School.
License to Use: Subject to these Terms and payment of applicable fees, ReviewED grants the School a limited, non-exclusive, non-transferable, revocable license to access and use the Service for the School's internal evaluation and improvement planning purposes during the Subscription Plan term.
Feedback: Any suggestions, ideas, or feedback provided by the School regarding the Service may be used by ReviewED without obligation. The School grants ReviewED a perpetual, irrevocable, worldwide license to use and incorporate such Feedback into the Service.
Trademarks: "ReviewED," the ReviewED logo, and all related names and logos are trademarks of ReviewED Solutions Corporation. The School may not use these trademarks without our prior written permission.
8. Subscription, Billing & Payment
Fees: Subscription fees, billing cycles, payment methods, and applicable taxes are set out in the Order Form or School Agreement. All fees are quoted and payable in the currency specified in the Order Form.
Payment: Fees are due in advance for each billing period unless otherwise agreed in writing. The School authorises ReviewED (or its payment processor) to charge the payment method on file for all fees when due.
Taxes: All fees are exclusive of applicable taxes, levies, or duties. The School is responsible for all taxes associated with its use of the Service, except for taxes based on ReviewED's net income.
Price Changes: ReviewED may modify its fees upon at least thirty (30) days' written notice. Price changes will take effect at the start of the next billing cycle.
Auto-Renewal: Unless the School provides written notice of non-renewal at least thirty (30) days before the end of the then-current term, the Subscription Plan will automatically renew for successive terms of the same length.
Late Payment: Fees not paid within fifteen (15) days of the due date may accrue interest at the rate of 1.5% per month (or the maximum rate permitted by law, if lower). ReviewED reserves the right to suspend access for overdue accounts.
9. Confidentiality
Each party agrees to hold the other party's Confidential Information in strict confidence and not to disclose it to any third party without prior written consent, using it solely to perform its obligations under these Terms. Confidentiality obligations survive termination for three (3) years, or indefinitely for trade secrets and Personal Data.
10. Warranties & Disclaimer
ReviewED warrants that the Service will perform substantially in accordance with its published documentation under normal use and that it will implement and maintain the security measures described in the Data Agreement.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY OTHER WARRANTY, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. REVIEWED DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REVIEWED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.
REVIEWED'S TOTAL AGGREGATE LIABILITY TO THE SCHOOL FOR ANY CLAIM ARISING UNDER OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY THE SCHOOL IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
12. Indemnification
The School agrees to indemnify and hold harmless ReviewED and its officers, directors, employees, and agents from and against any claims, losses, or expenses (including reasonable legal fees) arising from: (a) the School's breach of these Terms; (b) the School's use of the Service in violation of applicable law; (c) the School's School Data, including any claim that it infringes a third party's rights; or (d) the School's failure to obtain required consents for Student Data.
13. Termination
By the School: The School may terminate its Subscription Plan at any time by providing thirty (30) days' written notice. Fees are non-refundable unless otherwise required by law.
By ReviewED: ReviewED may suspend or terminate access immediately if the School: (a) breaches these Terms and fails to cure within fifteen (15) days of notice; (b) fails to pay fees when due; or (c) engages in conduct that poses a security risk or legal liability to ReviewED or other users.
Effect of Termination: Upon termination, the School's right to access the Service ceases. School Data will be available for export for thirty (30) days, after which it will be securely and permanently deleted.
14. Dispute Resolution
The parties shall attempt to resolve any dispute in good faith through negotiation for a period of thirty (30) days. If the dispute is not resolved through negotiation, it shall be finally settled by binding arbitration under the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI), seated in Manila, Philippines. Each party waives any right to participate in a class action or class-wide arbitration.
15. Changes to Terms
ReviewED may update these Terms from time to time. We will provide at least thirty (30) days' prior written notice of material changes via email or in-Service notification. Continued use of the Service after the effective date of updated Terms constitutes acceptance of those changes.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Subject to the dispute resolution provisions in Section 14, the parties submit to the exclusive jurisdiction of the competent courts of Manila, Philippines.
For schools located in jurisdictions with mandatory consumer or data protection laws that cannot be waived by contract, nothing in these Terms limits the School's rights under such mandatory laws.
